Who does not qualify at all !!
If you are running DOS-based version of Windows - Windows 95, Windows 98, Windows 98 Second Edition, or Windows Millennium Edition, Windows NT (any version). Do not purchase an upgrade version of Vista.
What you need to do: Chat with a Qresolve Engineer.
• Back up all your documents and other data, and your application settings.
• Find all your application install disks or executables so you can reinstall once Vista is installed

Who qualifies for an upgrade version of Windows Vista
If you are running Windows 2000, Windows XP: Home Edition, Professional Edition, Media Center Edition, Tablet PC Edition, XP Professional x64 Edition. You can purchase an upgrade version of Windows Vista.

Windows 2000 & XP x64bit users cannot upgrade to any Windows Vista version in-place. These users will have to clean install Vista instead.
